Terms of Use

These terms are the agreement between you and Novlasoft OÜ for using Reachira, a service that creates, schedules and publishes short-form videos to your social accounts. In short: you own what you put in and what comes out; you pay for a plan and, for AI generations, with credits that are only charged when a generation succeeds; you must follow each platform's rules, including labelling AI-generated content; and each connected account can publish at most 3 posts a day through Reachira.

1. About these terms

By creating an account or using Reachira you accept these terms, our Privacy Policy, our Acceptable Use & Platform Compliance policy and our Refund & Cancellation policy. If you use Reachira for a company, you accept them on its behalf and confirm you are authorised to do so.

Reachira is a product of Novlasoft OÜ, an Estonian private limited company (osaühing) registered in Estonia under registry code 16751108.

2. Your account

• You must give accurate information and keep your sign-in secure. You are responsible for what happens in your account and in the workspaces you own, including actions by the people you invite.
• You must be old enough to enter a binding contract, and at least the minimum age each platform you connect requires.
• One workspace represents one brand. Members you invite have the role you give them.

3. Plans and billing

• Reachira has a free plan and paid plans, billed monthly or yearly. The features, limits, prices and monthly credits of each plan are shown on the pricing and billing pages when you subscribe.
• Paid plans renew automatically at the end of each billing period until you cancel. Cancellation takes effect at the end of the current period; see Refunds & Cancellation.
• Prices may change. A price change applies from your next billing period after we have told you about it.
• Payments are processed by our payment provider. Taxes are added where the law requires.

4. Credits

Credits are a balance used only for AI generation (for example AI characters, AI video, voice and lip-sync). Text writing, rendering, captions, scheduling, publishing and downloads do not use credits. The price in credits is shown before you confirm a paid action.

1. Reserved — when a generation starts, its cost is reserved from your balance.
2. Charged — when the generation succeeds, the reserved credits are charged.
3. Refunded — when the generation fails or is cancelled before it completes, the reserved credits are returned to your balance in full.

For automations, the credits for the posts being generated are reserved when the campaign launches; each post's share is charged when it is posted, and anything still reserved is refunded if you cancel the campaign or remove or reject the post. Regenerating a video costs the same as the original generation.

Spent credits are non-refundable. Credits have no cash value and cannot be transferred or exchanged. Credit packs are final once purchased; see Refunds & Cancellation.

5. Acceptable use

You agree not to use Reachira to:

• send spam, run fake engagement or buy likes, views or followers;
• impersonate any person or brand, or use someone's likeness or voice without their consent;
• break the terms, community guidelines or content policies of any platform you publish to;
• post the same or near-identical content in bulk across accounts to game a platform's systems;
• publish content that is illegal, infringing, deceptive, hateful, harassing or sexually exploitative;
• interfere with or probe the security of the service, or access it by automated means other than the tools we provide.

6. Your content

• You own your content. You keep all rights in what you upload (your inputs) and in the videos, images, scripts and captions Reachira generates for you (your outputs), to the extent the law allows rights in them.
• The licence you give us is limited to operating the service for you: storing, processing, rendering, sending your content to the AI and publishing providers we use, and publishing it to the accounts you choose. It ends when your content is deleted, except for copies we must keep by law.
• You are responsible for your inputs. You confirm you have the rights and consents needed for everything you upload, including music, footage, photos of real people and voice samples. For a character made from photos of a real person, or a cloned voice, you confirm that person has consented.
• AI outputs may not be unique: others may receive similar results. You are responsible for reviewing outputs before they are published.

7. AI-generated content and platform labels

Reachira lets you mark a post or a campaign as AI-generated. This setting is off by default and is entirely your decision: Reachira forwards your choice to the platform and never sets or changes it for you.

TikTok, Instagram, YouTube and other platforms require realistic AI-generated content to be disclosed under their own policies, and some laws require it too. You are responsible for deciding whether each post needs an AI label and for applying it. See Acceptable Use for more.

8. Publishing limits

• Each connected social account can publish at most 3 posts per day through Reachira, counting scheduled, automated and manual posts together, measured on your workspace's timezone. A platform's own daily limit applies if it is lower.
• Platforms may reject, delay, restrict or remove posts under their own rules. We are not responsible for a platform's decisions, and a platform's action against your account is between you and that platform.
• If a platform disconnects your account or your permission expires, you will need to reconnect it before we can publish again.

9. Third-party services

Reachira depends on social platforms, a publishing provider and other services. Your use of each platform is governed by that platform's terms. For YouTube, by connecting a channel you agree to the YouTube Terms of Service; see our YouTube API Services disclosure.

10. Suspension

We may suspend or limit your account, a workspace or a connected account without prior notice if we reasonably believe you are breaking these terms, putting the service or other users at risk, or causing a platform to act against us, or if payment fails. Where it is reasonable to do so, we will tell you why and give you a chance to fix the problem.

11. Termination

• You can stop using Reachira and delete your account at any time in Settings. Deletion can be cancelled for 30 days, then your content is purged; see Data Deletion.
• We may terminate these terms if you seriously or repeatedly break them, or if we stop offering the service, in which case we will give you reasonable notice where we can.
• On termination, sections that by their nature should survive (such as ownership, disclaimers, limitation of liability and governing law) continue to apply.

12. Disclaimers

Reachira is provided "as is" and "as available". To the extent the law allows, we do not promise that the service will be uninterrupted or error-free, that any post will be accepted by a platform, or that your content will reach any number of views or results. AI outputs can be inaccurate or unexpected. Nothing in these terms limits rights you have as a consumer that cannot be limited by contract.

13. Limitation of liability

To the extent the law allows:

• we are not liable for indirect or consequential losses, lost profits, lost revenue, lost data or loss of goodwill;
• we are not liable for actions taken by social platforms or other third-party services;
• our total liability for all claims relating to the service in any twelve-month period is limited to the amount you paid us in that period.

Nothing in these terms excludes liability that cannot be excluded by law, such as liability for fraud or for death or personal injury caused by negligence.

14. Governing law and disputes

These terms are governed by the laws of the Republic of Estonia. Disputes will be handled by the courts of Estonia, unless mandatory law where you live gives you the right to bring a claim elsewhere.

15. Changes to these terms

We may update these terms. The date at the top shows the latest version. If a change is material, we will tell you by email or in the product before it takes effect. If you do not agree, you can cancel before the change applies; continuing to use Reachira afterwards means you accept the new terms.
